CONDITION OF EQUIPMENT:BUYER, or its agent, shall have the right toinspect the Equipment for general appearance and operating condition and toinspect the Equipment’s logbook if available.SELLER agrees tomaintain or cause the Equipment to be maintained hereafter so that no excessivedeterioration or use other than normal wear and tear shall occur beforedelivery of the Equipment, or, if such deterioration use shall occur, SELLERshall promptly correct or cause said excessive deterioration or us to becorrected to assure the acceptable appearance and condition of theequipment.At the time of delivery the Equipment will have acomplete set of cables for each item of Equipment, diagnostics wiring diagrams,maintenance, parts and operations manuals, and any other accessories that wereoriginally supplied by the manufacturer.SELLER shall be liable forthe replacement cost of any foregoing if missing at time of delivery.

Indemnity:Purchaser agrees to indemnify and hold harmlessseller and seller’s officers, directors, shareholders, agents and employeesagainst any and all liabilities, obligations, claims, demands, cost andexpenses of every kind and nature, including attorney’s fee andlitigationexpenses, arising from or related to the equipment, including,without limitation, the manufacture, selections, purchaser,delivery,possession, use, operation or return or the equipment or fromany breach or default on the part of seller in the performance of any agreementor seller to be performed pursuant to the terms of this Agreement.
